End User License Agreement (EULA)
CallMeTechie Software ProductsVersion 1.0 — Effective: April 5, 2026
Notice: This is a non-binding English translation provided for convenience only. In case of any discrepancies between this translation and the German original, the German version shall prevail. The binding German version is available at callmetechie.de/legal/eula.
This End User License Agreement ("EULA") governs the use of all software products by CallMeTechie. By installing, activating, or using the Software, you agree to the terms of this EULA. If you do not agree to these terms, you may not use the Software.
This EULA supplements the General Terms and Conditions (AGB) of the Provider. In the event of conflict between this EULA and the AGB regarding software use, the provisions of this EULA shall take precedence.
Section 1 — Scope and Definitions
1.1 Scope
This EULA applies to all software products of the Provider, including all associated updates, extensions, and documentation.
1.2 Definitions
For the purposes of this EULA, the following terms apply:
"Provider" — Marc Backes, Rothenbergerstrasse 7, 55450 Langenlonsheim, Germany (hereinafter: "CallMeTechie").
"Software" — Any software product of the Provider, including all associated updates, patches, extensions, and accompanying documentation.
"Licensee" — The natural or legal person who has acquired a valid License Key or who uses the Software under a Freemium license.
"License Key" — The unique alphanumeric key in the format PPPP-XXXX-XXXX-XXXX (where PPPP represents a product-specific prefix), provided to the Licensee upon purchase.
"Activation" — The initial association of a License Key with a device of the Licensee by means of a Hardware Fingerprint.
"Hardware Fingerprint" — A SHA-256 hash value generated from the device identifier of the respective computer. It is not possible to infer the specific hardware from this hash.
"License Components" — All code components that serve the purpose of license validation, activation, key management, and offline token generation.
"License Type" — The respective license model according to the acquired plan: Freemium, Subscription, or Lifetime.
"Trial Period" — A time-limited period during which the Licensee may use the full functionality of the Software free of charge before purchasing a paid plan.
"Activation Limit" — The maximum number of devices on which the Software may be simultaneously activated, as defined in the acquired plan.
Section 2 — License Grant
2.1 Scope
The Provider grants the Licensee a non-exclusive, non-transferable right to use the Software in accordance with the terms of this EULA and the respective License Type.
2.2 Organizational Use
The Licensee may use the Software within their organization (company, association, household). Use is limited to the number of devices specified in the acquired plan (Activation Limit). If no Activation Limit is specified, the number of devices is unlimited.
2.3 Transfer
Transfer of the license to third parties is only permitted with the prior written consent of the Provider.
Section 3 — License Type-Specific Provisions
3.1 Freemium
(a) The Software may be used free of charge with limited functionality. The exact scope of features is described in the respective product description.
(b) The Licensee may upgrade to a paid plan at any time.
(c) The Provider reserves the right to modify the scope of features of the Freemium version. Significant restrictions will be announced with a notice period of at least 30 days.
3.2 Subscription
(a) The subscription term is determined by the selected billing interval (monthly or annually).
(b) The subscription renews automatically for the selected term unless canceled before the end of the current billing period.
(c) Cancellation is possible at any time, effective at the end of the current billing period.
(d) After the subscription expires, the Provider grants a grace period of 7 days during which the Software remains fully functional to allow for renewal. After the grace period expires, all activations are deactivated.
(e) Trial Period: If a trial period is offered, the Licensee has access to full functionality for the duration defined in the plan. The trial period ends automatically without conversion into a paid subscription. The Licensee will be notified by email before the trial period expires and may actively choose to purchase a paid plan.
3.3 Lifetime (One-Time Purchase)
(a) The Licensee acquires a perpetual right to use the version of the Software that was current at the time of purchase.
(b) Updates are governed by Section 7.2 of this EULA.
(c) There is no entitlement to major version upgrades unless expressly stated in the product description at the time of purchase.
Section 4 — Activation and Offline Use
4.1 Initial Activation
Initial activation of the Software requires an active internet connection. The License Key is associated with the Hardware Fingerprint of the device during this process.
4.2 Online Validation
The Software performs an online validation of the License Key at each launch, provided an internet connection is available.
4.3 Offline Use
If no internet connection is available, a signed offline token allows use of the Software for up to 7 days (unless otherwise specified in the plan). After the offline token expires, a new online validation is required.
4.4 Device Changes
When changing devices, the previous device must first be deactivated via the customer dashboard before activation on a new device is possible. The number of simultaneous activations is limited by the Activation Limit of the respective plan.
Section 5 — Source Code, Modification, and Redistribution
5.1 Permitted Use
The Licensee is permitted to:
(a) view the source code of the Software;
(b) modify the source code for their own purposes;
(c) redistribute modified and unmodified versions of the Software.
5.2 Protection of License Components
Notwithstanding the rights under Section 5.1, the Licensee is expressly prohibited from:
(a) modifying, removing, disabling, or otherwise circumventing License Components;
(b) separately extracting or distributing License Components;
(c) circumventing or manipulating the activation mechanisms, online validation, or offline token verification.
5.3 Obligations Upon Redistribution
For any redistribution of the Software — whether modified or unmodified — the following obligations apply:
(a) License Components must be included in full and unmodified.
(b) A copy of this EULA must accompany the redistribution.
(c) A clearly visible attribution to the original Provider (CallMeTechie) must be included.
(d) Redistribution does not include the License Key of the redistributor. Recipients of the redistributed Software must acquire their own License Key. Without a License Key, the Software is only usable within the Freemium feature set.
Section 6 — Restrictions
The Licensee is prohibited from:
(a) sublicensing the license, except within the scope of the redistribution permission under Section 5;
(b) using the Software for unlawful purposes;
(c) circumventing, removing, or disabling technical protection measures of the Software;
(d) commercially distributing the Software or substantial parts thereof under their own name as their own product without clearly identifying its origin (CallMeTechie).
Section 7 — Warranty, Updates, and Liability
7.1 Warranty
The statutory warranty rights under Sections 327 et seq. of the German Civil Code (BGB) (contracts for digital products) apply to the Software. The Provider warrants that the Software conforms to the contractually agreed requirements upon delivery and is suitable for ordinary use.
7.2 Update Obligation
(a) Subscription: The Provider shall provide security and feature updates for the entire duration of the contract.
(b) Lifetime: The Provider shall provide security updates for a reasonable period pursuant to Section 327f (1) BGB, but for at least 2 years from the date of purchase, unless a longer period is specified in the product description. Feature updates are only provided if expressly promised in the product description.
(c) Freemium: Security updates are provided at the Provider's discretion. There is no entitlement to feature updates.
(d) Updates are delivered via the integrated update function of the Software or via the customer dashboard at callmetechie.de.
7.3 Limitation of Liability
(a) The Provider is liable without limitation for damages arising from injury to life, body, or health, as well as for willful misconduct and gross negligence.
(b) For slight negligence, the Provider is only liable in the event of a breach of material contractual obligations (cardinal obligations). In such cases, liability is limited to the typical, foreseeable damage.
(c) The Provider is not liable for damages caused by modifications to the source code made by the Licensee or third parties.
(d) The above limitations of liability also apply in favor of the Provider's vicarious agents.
Section 8 — Data Protection
8.1 Reference
The Provider's Privacy Policy applies, available at callmetechie.de/legal/datenschutz.
8.2 Data Collection by the License System
The license system collects the following data for the purpose of license validation and activation:
Hardware Fingerprint (SHA-256 hash of the device identifier)
IP address at the time of validation
Device name and operating system
Timestamps of activation, validation, and deactivation
License event log (activation, suspension, reactivation, revocation)
No personal data beyond the above is collected by the license system. The complete data protection information, including all data collected, is documented in the Privacy Policy.
8.3 Legal Basis
Data processing is based on:
Art. 6 (1) (b) GDPR (performance of contract) for paid licenses (Subscription and Lifetime);
Art. 6 (1) (f) GDPR (legitimate interest) for Freemium licenses and security-related processing (in particular, IP logging for abuse prevention).
Section 9 — Suspension, Termination, and Withdrawal
9.1 Suspension by the Provider
(a) In the event of a reasonable suspicion of a violation of this EULA or misuse of the license system, the Provider is entitled to temporarily suspend the license.
(b) The Licensee shall be notified immediately by email of the suspension and the reasons therefor.
(c) The Licensee shall be given the opportunity to respond within 14 days of receiving the notification.
(d) Following review of the response, the license shall either be reactivated or permanently revoked pursuant to Section 9.2.
(e) During the suspension period, use of the Software is not possible.
9.2 Revocation of the License by the Provider
The Provider is entitled to permanently and irrevocably revoke the license if:
(a) a material violation of this EULA is established, in particular the circumvention or manipulation of License Components;
(b) the Licensee fails to respond within the period specified in Section 9.1 (c), or the response does not dispel the suspicion.
The revocation shall be communicated to the Licensee by email, stating the reasons.
9.3 Termination by the Licensee
(a) Subscription: The subscription may be canceled at any time, effective at the end of the current billing period.
(b) Lifetime and Freemium: The license may be terminated at any time by completely uninstalling and deleting the Software.
9.4 Statutory Right of Withdrawal for Consumers
Consumers are entitled to a 14-day right of withdrawal in accordance with statutory provisions. The full cancellation policy is available at callmetechie.de/legal/widerruf.
9.5 Consequences of Termination
Upon termination of the license — regardless of the reason — the following applies:
(a) All activations are deactivated.
(b) The License Key becomes invalid.
(c) Amounts already paid are not refunded, unless a statutory right of withdrawal exists pursuant to Section 9.4.
(d) The obligations under Section 5.2 (Protection of License Components) and Section 6 (Restrictions) survive termination.
Section 10 — Final Provisions
10.1 Governing Law
The laws of the Federal Republic of Germany shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
10.2 Jurisdiction
For entrepreneurs within the meaning of Section 14 BGB, the exclusive place of jurisdiction is the Provider's registered office (Langenlonsheim). For consumers, the statutory rules on jurisdiction apply.
10.3 Severability
Should any provision of this EULA be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by the applicable statutory provision.
10.4 Amendments to This EULA
The Provider reserves the right to amend this EULA. Amendments will be communicated to the Licensee by email at least 30 days before they take effect. Use of the Software after the amended EULA takes effect constitutes acceptance. For Subscription licenses, consent is obtained upon the next renewal.
10.5 Text Form
Amendments and supplements to this EULA, as well as collateral agreements, require text form (Section 126b BGB).
10.6 Language
This EULA is drafted in German and English. The German version alone is legally binding. The English version is provided for informational purposes only.
